Program: GetSiteUP Reseller Program (the “Program”)
Company: isternet OÜ, a company organized under the laws of Estonia, having its principal place of business at Harju maakond, Tallinn, Kesklinna linnaosa, Viru väljak 2, 10111 Estonia (“Company”)
Reseller: The natural or legal person that accepts this Agreement electronically (“Reseller”).
Agency E‑Commerce Site: The white‑label digital agency e‑commerce website Company builds and delivers to Reseller under this Agreement.
GetSiteUP Catalog: Ready‑made websites and other digital products/services offered by Company at getsiteup.com.
Payment Channel: Either (A) Reseller’s own payment gateways (e.g., Stripe/PayPal/bank transfer/others) integrated to the Agency E‑Commerce Site; or (B) Company’s GetSiteUP payment channel made available to Reseller under Section 8.
Program Discount: The reseller discount applicable to purchases from the GetSiteUP Catalog (currently 30%).
Minimum Annual Credit: The annual credit load Reseller must maintain to keep Program benefits active (amount published on getsiteup.com from time to time).
Client: End customer who buys from Reseller.
2.1. Company appoints Reseller as a non‑exclusive reseller of the GetSiteUP Catalog and the Reseller’s own packaged digital services, under Reseller’s brand, via the Agency E‑Commerce Site.
2.2. Program is white‑label. No GetSiteUP branding shall appear on Reseller’s client‑facing properties, except as required by law or this Agreement.
2.3. Reseller operates independently and is solely responsible for sales, marketing, execution of non‑GetSiteUP services, and Client relationships.
3.1. Company delivers the Agency E‑Commerce Site to Reseller’s domain within 1 business day following Program acceptance and Minimum Annual Credit load.
3.2. Agency E‑Commerce Site is fully owned and administered by Reseller; code, database, and media are accessible to Reseller (subject to third‑party license terms).
3.3. Demo instances may run on subdomains (e.g., upXXXX.sitedemotest.com) for preview and deployment automation.
4.1. Reseller may resell items from the GetSiteUP Catalog and may add its own services.
4.2. Pricing: Reseller sets its own Client prices and margins.
4.3. Program Discount: For purchases Reseller makes from the GetSiteUP Catalog, a 30% discount applies (unless otherwise published).
4.4. Prices Reseller pays to Company for Catalog items are fixed at time of order; Reseller’s Client price does not affect Company’s price.
5.1. For the Agency E‑Commerce Site, Company provides licensed components (currently Elementor Pro, Unlimited Elements, WPML, Schema Pro, WordPress Ticket plugin) at no additional charge while Program status is active and Minimum Annual Credit is met.
5.2. For Client sites hosted on Company infrastructure, required licensed components are provided under the Program while active; for sites hosted elsewhere, license policies and renewal fees may apply as published by Company.
5.3. Reseller must comply with all third‑party license terms; sublicensing beyond permitted scope is prohibited.
6.1. Agency E‑Commerce Site is provisioned on Hero Mode hosting (high‑performance tier) at no additional charge while Program status is active.
6.2. Company provides hosting, setup, security, and backups for properties hosted on Company infrastructure.
6.3. Content entry, additional themes/plugins installed by Reseller, and Reseller’s bespoke developments are outside standard support.
6.4. Company may publish support SLAs, maintenance windows, and incident processes; Reseller agrees to such policies as updated.
7.1. Client delivery quality, timelines, and satisfaction for Reseller’s own services are solely Reseller’s responsibility.
7.2. Reseller will publish and honor clear terms: refunds, cancellations, delivery timelines, acceptable use, and privacy.
7.3. Reseller shall comply with all applicable laws (consumer protection, advertising, data protection, export, sanctions).
7.4. Prohibited activities include: illegal/regulated products without permits; deceptive practices; infringing content; abusive traffic/fraud; or any activity that exposes Company to regulatory risk.
Option A — Reseller Gateways. Reseller integrates its own payment gateways and is the merchant of record toward Clients; Reseller handles invoicing, refunds, chargebacks, and tax.
Option B — GetSiteUP Payment Channel. Where requested by Reseller and approved by Company:
(a) Company processes Client card payments for Reseller sales via Company’s channel.
(b) Company pays Reseller net amounts (Client receipts minus the Platform Fee, taxes/withholding if any, refunds/chargebacks/fees) within 15 business days following successful settlement.
(c) Platform Fee: 20% of the net sale amount unless otherwise agreed in writing.
(d) Company may require KYC/AML information from Reseller, and may suspend payouts in cases of suspected fraud, regulatory requests, or unresolved disputes.
(e) Reseller acknowledges that under Option B, the seller of record toward payment processors may be Company; Reseller remains solely responsible to Clients for service delivery.
9.1. Minimum Annual Credit: Reseller keeps Program active by loading the annually published minimum credit (amount and currency as published on getsiteup.com).
9.2. Credit Usage: Credits loaded by Reseller are strictly for purchases on getsiteup.com and cannot be refunded, withdrawn, or transferred under any circumstances.
9.3. Company invoices Reseller for purchases from the GetSiteUP Catalog; Program Discount applies at order time.
9.4. For payouts under Option B, if Reseller is a company, Reseller issues commission/service invoices to Company where legally required; if a non‑registered individual, Company may issue a self‑billing/gider pusulası equivalent subject to local law.
9.5. Taxes, VAT/GST, withholding, and compliance obligations are borne by the legally responsible party under applicable law.
10.1. Reseller must publish clear refund and cancellation policies and comply with consumer laws.
10.2. Under Option B, amounts refunded to Clients or lost to chargebacks are deducted from Reseller’s pending or future payouts; already‑paid amounts may be clawed back.
10.3. Company may impose reserves, rolling holds, or transaction limits in its reasonable discretion to manage risk.
11.1. Each party acts as an independent controller of personal data it processes for its own purposes.
11.2. Where Company processes personal data on behalf of Reseller (e.g., hosting), a Data Processing Addendum (DPA) shall apply (Annex D).
11.3. Reseller shall provide legally compliant privacy notices and obtain required consents (cookies, marketing, cross‑border transfers).
12.1. Company IP (software, templates, documentation, trademarks) remains Company’s property.
12.2. Reseller receives a non‑exclusive, non‑transferable license to use Program materials solely to resell and deliver services under this Agreement.
12.3. White‑label rights: Reseller may brand client‑facing assets with its own branding; no suggestion of partnership/representation of Company is permitted beyond authorized Program language.
13.1. All non‑public information disclosed by either party is confidential and shall not be disclosed to third parties, except to advisors under confidentiality or as required by law.
13.2. Confidentiality survives termination for 3 years.
14.1. Term commences upon electronic acceptance and continues until terminated.
14.2. Either party may terminate for convenience on 30 days’ notice.
14.3. Immediate suspension/termination by Company for: material breach; fraud/risk; illegal content; brand/reputation harm; failure to complete KYC; or non‑payment.
14.4. Effects: Program benefits cease; licenses tied to Program may lapse per their terms; hosting may convert to paid plans; outstanding financial reconciliations will be completed.
15.1. Each party represents it has authority to enter into this Agreement.
15.2. EXCEPT AS EXPRESSLY STATED, PROGRAM AND DELIVERABLES ARE PROVIDED “AS IS” WITHOUT WARRANTIES; COMPANY DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS, AND NON‑INFRINGEMENT TO THE MAXIMUM EXTENT PERMITTED BY LAW.
16.1. Limitation: EXCEPT FOR FRAUD, WILLFUL MISCONDUCT, IP INFRINGEMENT, OR DATA BREACH, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES; TOTAL LIABILITY IS LIMITED TO THE AMOUNTS PAID BY RESELLER TO COMPANY IN THE 6 MONTHSPRECEDING THE CLAIM.
16.2. Indemnity by Reseller: Reseller shall indemnify and hold Company harmless against claims arising from Reseller’s services, pricing, advertising, illegal content, or breach of this Agreement.
17.1. This Agreement is governed by the laws of Estonia.
17.2. Courts of Estonia (Tallinn, Harju County) have exclusive jurisdiction, without regard to conflict‑of‑laws principles.
Notices must be sent to the addresses/emails specified by each party within the Agency E‑Commerce Site admin or as updated in writing.
19.1. Entire Agreement; any annexes referenced are incorporated by reference.
19.2. Amendments require written/electronic acceptance by Reseller or publication with reasonable notice if non‑material.
19.3. Assignment by Reseller requires Company’s consent; Company may assign to affiliates or in connection with reorganization.
19.4. If any provision is unenforceable, the remainder remains in force.
By checking the acceptance box or clicking “I Agree,” Reseller confirms having read, understood, and accepted this Agreement, which becomes effective as of the acceptance date.
